This Agreement ("Agreement") is a legally binding contract between you as a (Client) and SafeMoneyMetrics™ (SMM™). You are granted permission by SafeMoneyMetrics™ to access and use this web site when you agree to terms and conditions in this agreement.   
1. License Grant:  Based on your compliance with this agreement, information available through this site is provided by SafeMoneyMetrics™, giving you a limited, nonexclusive, nontransferable license to use the services made available.   

Clients may download and print reports and other information from this site for its business use and/or as provided under an executed License and Subscription agreement between the Client and SafeMoneyMetrics™. All trademark and copyright information issued by SafeMoneyMetrics™ is to remain on all hard copy or reproduced reports.  Documents can be re distributed in any print or electronic format, however they cannot be modified.

Clients can only use this site and all related content in compliance with applicable national, international, industry, state and local laws.

2. Intention and Purpose of Site Content:  Site content is intended for research, risk management, education and information. SafeMoneyMetrics™ and contributors of information on this site assume no responsibility or liability for the accuracy of any raw data provided on this site. SafeMoneyMetrics™ reserves the right to delete or change a User Password at any time for any reason.

Internet Use and Risk Management:  While SafeMoneyMetrics™ has attempted to create a reliable site environment, please be advised that the confidentiality of material or communication transmitted to/from this Site cannot be guaranteed. Clients assume complete and solitary risk for using this site. Clients need to make their own decisions as to the reliability of any internet related information. 7. Site Security: For client protection, SafeMoneyMetrics™ reserves the right to monitor, and record all site activity without notice or permission of clients. SafeMoneyMetrics™ will cooperate with any law enforcement agency to protect clients from unauthorized use of this site.

8. Courtesy and Related Site Links:  SafeMoneyMetrics™ provides links, to other web sites. Except for Related Site Links, these sites are not endorsements of SafeMoneyMetrics™. Clients are to assume total responsibility and liability related to using any services related to these sites.

9. Catastrophic Events: Client release SafeMoneyMetrics™ and related information and service providers, from any claim of harm caused by events beyond their control. Including but not limited are failure of electronic, computer and other mechanical equipment. Communication, telephone lines and other interconnect problems. Also included are viruses, unauthorized access, human errors, natural disasters, labor problems, wars, terrorism or newly imposed government restrictions.

Governing Law: This Agreement was written in, will be construed and enforced under New York State Law, as applied to agreements entered into and completely performed in New York.  Any action to enforce this Agreement will be brought in the federal or state courts presiding in New York City, Country of Manhattan. Al parties to this Agreement expressly agree to be subject to the jurisdiction of such courts. This site is created and operated by SafeMoneyMetrics (SMM) in New York. Clients choosing to access this Site from other locations are responsible for compliance with applicable local laws.

12. Termination: SafeMoneyMetrics™ reserves the right at any time and for any reason in its sole discretion to deny any Client access to the entire or any portion of this site. Termination is effective without notice.

13. Waiver:  No waiver of any part of this agreement shall be effective unless in writing.

14. Admissibility: A printed version of this Agreement and of any related notice given in electronic form is admissible in any judicial or administrative proceedings related to this Agreement, subject to the same extent and conditions as other business documents and records generated and maintained in printed form.

15. Severability: If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and the liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most clearly matches the intent of the original provision and the remainder of this Agreement shall continue in effect.

16. Reservation of Rights:  Any rights not expressly granted herein are reserved.

17. Entire Agreement: This Agreement, SafeMoneyMetrics™ privacy information, Subscription and License Agreement, risk disclosure available on each and every analysis and report; and other written agreements (in electronic or printed form), all of which are incorporated “as if”  presented completely herein, represent the entire agreement between the Client and SafeMoneyMetrics™ with respect to analysis and reports available through this site. This agreement replaces all prior communications whether electronic, oral, or written between the Client and SafeMoneyMetrics™ with respect to this Site.
